Terms of Agreement
About Amplitude Research®.
Amplitude Research, Inc., a Michigan corporation ("Amplitude"), has the right to sell to third parties, various products and services for web-based surveys. Amplitude conducts and hosts surveys on its own platform, and maintains Internet websites located at www.amplituderesearch.com, www.ampupnow.com, www.panelspeak.com and elsewhere (collectively the "Site").
Eligibility for Survey Participation.
All registrants are required to be U.S. residents who are 18 years of age or older (if the age of majority in your jurisdiction is different than 18, you must be the age of majority within your jurisdiction). Anyone registering and using the Site warrants that they meet this requirement. Each person is limited to one (1) registration, and must be a professional working in the technology industry ("Registrant"). If you do NOT work in the technology industry AND do NOT fall within one of those categories listed under "primary job function" on our registration form, you are NOT eligible for our panel. If a Registrant commits fraud or falsifies information in connection with his/her registration, that person will be liable to Amplitude for any and all damages that Amplitude suffers as a result of such actions, and Amplitude will not hesitate to pursue all legal causes of action to the fullest extent possible. Amplitude reserves the right to request that a Registrant confirm that his/her sign-up information is accurate.
Survey Participation.
Registrants will always receive a separate e-mail invitation for each survey they are selected to participate in that describes the overall purpose of that survey, the awards available for completing the survey, and a link to the questionnaire. By login to the survey, the Registrant confirms his/her prior registration and opts-in to participate in that survey. Note: Amplitude may use re-screeners and/or timers on a survey questionnaire to determine the reliablity of respondent feedback. Amplitude reserves the right to remove a Registrant from survey participation at any time and for any reason, including eligibility for awards or other incentives, if it determines, in its sole discretion, that the Registrant is providing false or unreliable feedback.
Awards/Incentives.
Registrants who complete a survey by the announced completion date are eligible to participate in the awards for that survey. Our client surveys provide a $10.00 Amazon.com Gift Certificate (delivered by email and redeemable online), Target GiftCard (delivered by mail and used at Target Stores), or other gift card selected at Amplitude's discretion to EACH respondent who completes the survey. The form of award will fluctuate among surveys depending on the selections made by Amplitude or its clients, and is described in each survey invitation. The minimum amount of total awards for an industry survey (a survey that we conduct on our own behalf instead of for a client) is a $20 Amazon.com Gift Certificate or Target GiftCard, determined by Amplitude in it sole discretion, randomly awarded to twenty (20) respondents who complete the survey. Amplitude may also randomly select two (2) participants to receive a gift award if they are "screened out" based on the questionnaire.
EXAMPLE: 500 Registrants receive an e-mail invitation to take a survey. The invitation describes the award of "a $10.00 Amazon.com Gift Certificate to each respondent who completes the survey...and the random award of a $25.00 Amazon.com Gift Certificate to two respondents who are screened out". 250 Registrants complete the questionnaire and 40 Registrants are "screened out". This means that the 250 Registrants who completed the survey will each receive a $10.00 Amazon.com Gift Certificate and two (2) of the 40 Registrants who were "screened out" would receive a $25.00 Amazon.com Gift Certificate. Award winners are selected within 30 days after the end of the survey. All decisions are final and binding.
All winners will be notified by e-mail or regular mail, at the election of Amplitude, within 15 days of selection and must redeem or use their award within 180 days of notification or it will be forfeited to Amplitude. Amazon.com awards will be distributed via email. Target Stores GiftCards will be distributed by regular mail. Each Registrant must enter valid name, email address, and mailing address information to insure receipt of awards distributions. Incorrect name or mailing address information will prevent receipt of mailed awards. Amplitude is under no obligation to re-send emailed or mailed awards to Registrants who provide incorrect email, name or mailing information. Employees, officers, and directors of Amplitude; advertising, promotion, and fulfillment agencies; and immediate family members and persons living in the same household of the foregoing, are not eligible to participate in the awards drawing. Awards are void where prohibited.
Amplitude reserves the right to alter the awards/incentives program or to cancel this program at any time. In the event of such change or cancellation, any awards owed at the time of the change or cancellation would be provided.
Participation in Industry Reports.
To qualify for a free copy of an Amplitude industry report, the Registrant must participate in and complete the relevant survey on a timely basis. Amplitude will provide an e-mail or regular mailing, at the election of Amplitude, with instructions for obtaining a copy of the report. Use of the report for commercial purposes or disclosure of the contents of the report to others is strictly prohibited.
Privacy/Security.
At registration, each Registrant provides us with certain personal information such as their name, e-mail address, mailing address, zip code and certain demographic and technical information so that we can match their survey participation with different types of surveys and provide awards. Registration information is available to Amplitude for use in future surveys conducted for Amplitude clients or for its own studies. Amplitude will not sell, distribute, publish or otherwise disclose any personally identifiable information without the express permission of the Registrant. Surveys are generally conducted by Amplitude on its own platform. If surveys are conducted on a different platform - such as the platform of another research organization - Amplitude will notify you in the survey invitation. In no event, however, will Amplitude divulge your personally identifiable information to that organization, although we may need to share AGGREGATE demographic information. Amplitude also reserves the right to transfer personally identifiable information to a buyer in connection with a sale of stock or assets, merger, or any other change of control transaction. Any future buyer would be required to honor Amplitude's privacy policy. Amplitude cannot guarantee against and shall not be held responsible for the actions of any third parties with regard to the Site. This includes, but is not limited to, the unauthorized use or access of any third party to the Site, server, database, e-mail programs, software or services, and the unauthorized alteration or interception of any transmission or data. If Amplitude wishes to change its privacy policy, it will publish changes on this website and notify Registrants of changes via e-mail. If you do not agree with Amplitude's privacy policy, you have the option of discontinuing participation and requesting that we delete your personally identifiable information.
Affiliate Program. Referrers to our Tech Panel must be an approved business ("Affiliate Site") that enters into an Affiliate Agreement with Amplitude. Amplitude will provide the content, relevant code and image for use by Affiliate Sites as well as the economic terms and conditions. Affiliates Sites interested in posting a link to our site should contact us for a copy of our Affiliate Agreement. Affiliate Sites are strictly prohibited from engaging in practices that might be considered "spamming" to attract new sign-ups. Any "spamming" activities will result in forfeiture of referral fees and permanent discontinuance of participation. Notwithstanding the foregoing, if Affiliate Sites maintain their own e-mail opt in list, it is not considered spamming if they refer opt-ins through e-mail solicitations.
If an Affiliate Site commits fraud or falsifies information in connection with the registration or referral of persons at or to this website, that Affiliate Site will be liable to Amplitude for any and all damages that Amplitude suffers as a result of such actions. That Affiliate Site will also be responsible for returning to Amplitude all awards received for fraudulent/falsified members, and Amplitude will not hesitate to pursue all legal causes of action to the fullest extent possible.
Discontinuing Survey Participation.
You can notify us at any time to remove your registration. To do so, please e-mail us at discontinue@amplituderesearch.net.
Intellectual Property Rights.
All software and technology used in connection with the Site and Amplitude's products and services contains proprietary and confidential information that is protected by applicable intellectual property and other laws. Ownership of all applicable copyrights, trademarks, trade secrets, patents and other intellectual property rights in the software and technology developed by or for Amplitude or that relates to the Site or Amplitude's products and services shall remain vested in Amplitude.
Internet Content.
Registrant agrees not to (i) upload, post, e-mail, transmit, provide to Amplitude or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; (ii) upload, post, e-mail, transmit, provide to Amplitude or otherwise make available any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, or (iii) upload, post, e-mail, transmit, provide to Amplitude or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
Warranty Exclusions.
AMPLITUDE HEREBY DISCLAIMS AND EXCLUDES ALL WARRANTIES CONCERNING ITS SOFTWARE, WEBSITES AND ITS PRODUCTS AND SERVICES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WHETHER OR NOT AMPLITUDE KNOWS, HAS REASON TO KNOW, HAS BEEN ADVISED OF OR IS OTHERWISE IN FACT AWARE OF ANY SUCH PURPOSE.
Limitation of Liability.
In no event shall Amplitude, its affiliates, officers, advisors or employees be liable for any direct, indirect, special, incidental, consequential or punitive damages. If a Registrant is dissatisfied with the service or the Site, his/her exclusive remedy is to discontinue survey participation as provided herein.
Termination of Participation.
Amplitude reserves the right to terminate the participation of a Registrant at any time and for any reason.
Governing Law.
This Agreement is governed by and shall be construed and enforced in accordance with the laws of the State of Michigan, without regard to principles of conflicts of law.
PLEASE READ THE FOREGOING TERMS OF AGREEMENT CAREFULLY. BY COMPLETING THE REGISTRATION PROCESS AND CLICKING ON "SUBMIT", YOU ACCEPT AND AGREE TO ALL OF THE TERMS AND CONDITIONS SET FORTH IN THE TERMS OF AGREEMENT, AND ACKNOWLEDGE AND WARRANT THAT YOU ARE 18 YEARS OF AGE OR OLDER AND THAT THE INFORMATION YOU PROVIDE IS ACCURATE.
